Overview As our SEC Compliance & Corporate Governance Specialist, you’ll play a vital supporting role in keeping our governance and regulatory processes running smoothly and thoughtfully. You’ll work closely with our Legal, Finance, and Leadership teams to assist with SEC filings, maintain accurate corporate records, and support Board and committee activities. If you thrive on detail, discretion, and being the person everyone trusts to “get it right,” this is a role where your impact will be visible and valued. This role offers the flexibility of working a hybrid schedule from home and in our San Diego office (2 days on-site). Responsibilities: SEC Compliance & Disclosure: - Assists with the maintenance of beneficial ownership spreadsheet and the preparation of Section 16 reports (Forms 3, 4, and 5), including simple to moderately complex SEC current reports (Form 8-K). - Creates skeleton of SEC Proxy Statement (Form DEF 14A), by updating standard information such as dates, entity names, and director/officer details, and coordinates with senior staff for technical review and completion. - Provides back-up support for insider trading compliance and programs.
