Overview The Assistant General Counsel is a senior legal advisor supporting The RMR Group’s middle-market lending platform, private equity, and investment activities. This role provides strategic and hands-on support for complex transactions, balancing legal risk with business objectives. Reporting to the General Counsel, the position partners closely with investment and executive teams to structure, negotiate, and execute transactions efficiently and effectively. Responsibilities: Financing & Investment Transactions: - Lead structuring, negotiation, and execution of middle-market corporate and real estate financings, including secured and unsecured credit facilities, debt placements, and refinancing transactions. - Serve as lead in-house counsel for direct lending platform and commercial real estate private credit transactions across the full lifecycle (structuring through closing). - Provide legal support for repurchase (repo) and warehouse financings, including drafting and negotiating master repurchase agreements, security agreements, and related transaction documents. - Manage legal and regulatory risk in mortgage loan warehouse and repo transactions; ensure compliance and ove...
