Job description

Role overview We’re looking for an experienced hands-on legal professional for our partner company to support complex operations and investment transactions on a global scale across multiple industries and functions. The Counsel will be the legal backbone of our company, ensuring our scientists can focus on innovation while being supported by the legal infrastructure. What You’ll Do: - Support R&D operations, including reviewing/drafting complex B2B contracts (facilities lease, insurances, scientific & lab equipment purchase/rental, construction, maintenance contracts). - Support new R&D streams launch from incorporation to handover to respective operating teams. - Provide legal support on US/UK labour, employment, contracting matters in cooperation with relevant teams. - US/UK corporate governance (board/shareholder actions, cap table management, corporate records, etc.). - IP and R&D contracting, including assignment/inventions, deliverables/acceptance, IP rights, patent acquisitions. - Develop policies related to R&D and corporate operations including data protection, disclosures, IP, HR, etc. - Draft, review, and negotiate transaction documents related to minority/majority inve...
