Senior Counsel - Corporate, Transactions and Governance

Job description

This role is a broad corporate position within the Legal Department, providing support across a range of corporate legal matters, including tax-related structuring, securities, corporate governance, subsidiary management, treasury and finance. The role reports to the Associate General Counsel and works closely with senior members of the Legal team and cross-functional stakeholders, with opportunities to gain exposure to a variety of corporate legal disciplines and to take ownership of discrete workstreams, with guidance from senior members of the Legal team. ESSENTIAL FUNCTIONS: Tax and Corporate Structure: P rovide significant legal support on internal financings and corporate reorganizations , including advising on legal implications of step plans, identifying key transactions, obtaining internal approvals, and drafting and implementing legal documentation in collaboration with internal stakeholders and external counsel . Assist with the design and implementation of operating structures for rig ownership, rig transfers, and intercompany transactions, including bareboat charters .
