Job overview: We are looking for an experienced, enthusiastic, and motivated individual to join us as Senior Corporate Counsel. You will serve as a key member of our growing Legal team, providing strategic legal advice on securities law compliance, corporate governance, and disclosure matters. This role will support the company’s obligations under U.S. federal securities laws and SEC regulations, advise on public company reporting and disclosure, partner with senior leadership to manage securities-related legal risks, and assist with day-to-day corporate matters. Your Impact: - Lead drafting, review and revision of SEC filings, including annual and quarterly reports, 8-K filings, Section 16 filings, and other filings as needed - Lead planning for annual meeting matters, including proxy statements, shareholder communications, and other governance-related disclosures - Monitor developments and serve as the key subject-matter expert in securities laws, SEC guidance, Nasdaq requirements, and corporate governance best practices, and advise on potential impacts - Advise on securities law com...
