Overview Kimley-Horn, one of Fortune Magazine’s “100 Best Companies to Work For,” is looking for an in-house counsel to support our mergers and acquisitions (M&A) team in Cary, North Carolina (NC). This is a great opportunity, whether you are currently working as in-house counsel or interested in making a shift from private practice. This position will focus on supporting M&A transactions, but will include responsibilities in contracting, compliance, legal and risk matters in a time-sensitive environment. Candidates should have 3+ years of experience. Responsibilities: - Support all aspects of M&A transactions, including due diligence, negotiation, documentation, and closing - Provide practical, cultural-minded legal guidance in support of business objectives - Draft, review, and negotiate transaction agreements and related documentation such as Stock Purchase Agreements, Asset Purchase Agreements, and Non-Disclosure Agreements - Serve as primary liaison between in-house M&A team and outside counsel - Advise leadership on corporate laws, regulations, and governance related to M&A activities - Identify and resolve potential legal risks and issues - Stay abreast of industry trends an...
