The IT Contract Paralegal will work closely with attorneys and the Chief Technology and IP Counsel. This position offers an exciting opportunity to gain hands-on experience in IT transactional contracts and M&A due diligence, contributing to the success of our firm's various business ventures. - Maintaining of the IT related (e.g., software, data, technology development services) contract templates for the Firm’s various businesses - Assist attorneys with drafting, review and negotiations of various technology related agreements, including software and data licenses, services, SaaS, confidentiality, trading systems, FIX connectivity, API implementation, hosting, outsourcing, maintenance, consulting, research distribution and other agreements - Assisting with IT-related due diligence in M&A transactions, including reviewing, summarizing, and analyzing vendor/customer contracts for transferability, change of control, and IP ownership issues. - Paralegal Certification and/or Bachelor’s degree.
